I.    JOB SUMMARY 
The Assistant General Counsel is a corporate generalist with the ability to handle a wide variety of legal issues.  The Assistant General Counsel will provide strategic advice and assistance in the areas of corporate governance, public company reporting, entity management, mergers and acquisitions and other projects as assigned.

•    Provide guidance on corporate governance matters and relevant laws, rules and regulations, including SEC reporting and disclosure, compensation, and other public company matters. 
•    Support the preparation and organization of materials for Board and Committee meetings. 
•    Support the preparation and maintenance of corporate documents. 
•    Support public company governance and compliance matters (including earnings release process, stockholders' meetings, investor presentations, etc.) 
•    Serve as one of the principal legal advisors on corporate transactions; manage and support related due diligence, negotiation, and preparation of term sheets and definitive agreements. 
•    Assist with corporate transactions, including mergers and acquisitions and other strategic transactions. 
•    Draft, negotiate, and interpret non-disclosure agreements (NDAs), letters of intent (LOIs), and other corporate agreements. 
•    Support subsidiary management of corporate affiliates. 
•    Provide legal support for ad-hoc projects coming from various departments. 
•    Manage and/or collaborate with corporate paralegal staff regarding SEC and NYSE reporting and compliance activities, M&A matters, and corporate governance matters. 
•    Assume additional areas of responsibility, special assignments, or projects as assigned by the VP, Corporate Legal Affairs from time to time.

III. MINIMUM EDUCATION, EXPERIENCE, SKILLS
Education: J.D. and membership in good standing with at least one state bar  
 
Experience: 7-10 years of experience as a corporate generalist 
 
Knowledge: Knowledge of state law corporate matters, and financial and strategic transactions, securities law, SEC and NYSE reporting and compliance, and corporate governance matters, and general legal knowledge sufficient to support the legal team when time allows in other areas, including domestic and international subsidiary management. 
 
Skills and Abilities:  
•    Excellent oral and written skills 
•    Self-motivated, strong leadership, works well independently on projects, meet aggressive deadlines, handle multiple projects, technical knowledge, business acumen, and excellent communication skills 
•    Sound conflict resolution skills and ability to work in a collaborative, global environment 
•    Effective decision making; proven ability to assess and calibrate and effectively communicate legal risks to senior management and others. 
•    High level of legal innovation and cross functional capacity; ability to cross functional innovative initiatives 
•    Effectively issue spot and identify risk to analyze and provide business-minded advise. 
•    Lead educational sessions for legal group and company 
•    Manage outside counsel as needed 
•    Team-oriented with a strong sense of humor.
