I.    JOB SUMMARY 


Paralegal to provide support for corporate governance and securities law matters. The role involves assisting the Corporate Governance team in the provision of an end-to-end governance service and company secretarial function focused on public company securities filings, board materials, and governance compliance. The role will also support ongoing key strategic projects.

  • The Senior Paralegal will work closely with the SVP, General Counsel and Corporate Secretary, the Senior Corporate Paralegal, Assistant General Counsel and other legal affairs colleagues. The position duties may include, but are not limited to:
  • Work collaboratively with Senior Paralegal, Corporate to assist with corporate legal records and serve as a back-up for Board Governance matters.
  • Perform benchmarking and research on various securities and governance matters.
  • Collaborate with Corporate Governance Team to manage corporate calendar of Board meetings, filing dates and supporting actions.
  • Coordinate with Senior Paralegal, Corporate to maintain parent and subsidiary corporate minute books, including international and domestic subsidiaries, drafting of resolutions and other types of corporate documentation, oversight of required filings.
  • Support company M&A, financing and other transactions, including research and due diligence;
  • Back-up for filing and providing support for filings with stock exchange listing requirements;
  • Support Assistant General Counsel with administering corporate governance policies including insider trading and 10b5-1 guidelines;
  • Coordinate with Senior Corporate Paralegal to assist NYSE listing requirements, including annual and interim attestations, and managing notifications and responses to inquiries from NYSE as necessary.
  • General duties include research and respond to information requests from internal departments and management regarding various matters and other like tasks as necessary. Provide as-needed administrative support to Legal Team member, including contracting and transactions function.

III. MINIMUM EDUCATION, EXPERIENCE, SKILLS


The candidate must have:

  • 7-10 years’ experience as a paralegal with a mid or large size firm or corporate law department in a public company directly handling the governance and matters described in this position description;
  • Experience communicating and building relationships with internal constituents from employees to board members, and external organizations including outside counsel;
  • Enjoys working closely with others and thrives in a team-focused environment;
  • High level of accuracy, strong attention to detail and excellent proofreading skills;
  • Excellent organization skills coupled with the ability to compile information from multiple sources;
  • Proficiency in the following applications: Microsoft Teams, Word, PowerPoint, Excel (can maintain complex spreadsheets), Outlook, Diligent and Workiva;
  • Experience with Agiloft CLM preferred;
  • Experience writing legal correspondence;
  • Paralegal certificate is preferred;
  • Willingness to take on diverse tasks, both large and small, and to learn new areas outside of your immediate expertise;
  • Experience with Public Company Board Governance Matters

 

U.S. Base Pay Ranges and Benefits Information

The estimated annual base salary as a new hire for this position ranges from [$117,500  to $142,100). Individual base pay depends on various factors such as applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data.  The salary may also be adjusted based on applicant’s geographic location.  Certain roles are eligible for additional incentive compensation, including merit increases, annual bonus, [and/or long-term incentives in the form of stock options.]
