JOB SUMMARY
The Senior Manager, Contracts and Subcontracts is responsible for the full life cycle management of complex U.S. Government Prime Contracts and subawards, including collaborating with the proposal time on pre-award strategy, proposal support (including source selection), as well as the totality of post-award Prime Contract and Subcontract execution, and closeout. Provides expert oversight of contracts structured under FAR Part 16, with particular emphasis on hybrid contracting vehicles incorporating Cost-Plus-Fixed-Fee (CPFF) and Firm-Fixed-Price (FFP) elements, ensuring effective risk management and compliance across varied contract types and performance environments.
Serving as a senior-level subject matter expert for the MCM Products and Contracts team, the Senior Manager leads contract execution on programs of varying size, scope, and complexity, and collaborates with and, when necessary, leads cross-functional stakeholders to achieve Prime Contract objectives. Drives continuous improvements in contracting compliance to strengthen Emergent’s audit posture while improving customer focused service and responsiveness.
ESSENTIAL FUNCTIONS

- Manages the entire contract life cycle; including proposals, awards, change orders, modifications, etc. for highly complex contract(s) including subawards (subcontracts);
- Applies expert level knowledge of FAR Part 16 contract types and their practical application including, but not limited to, hybrid awards that may contain a blend of Cost-Plus-Fixed-Fee (CPFF) and Firm-Fixed-Price (FFP) elements and CLINs.
- Provides expert leadership in subcontract source selection and award across a range of acquisition strategies, including Lowest Price Technically Acceptable (LPTA) and Best Value methodologies. Serves as the primary liaison and point of contact with major subcontractors for formal communications and required submittals, and, as delegated, leads final subcontract negotiations, including development and issuance of RFXs, internal evaluation of offers, offeror debriefings, and execution of subcontract modifications. Applies mandatory and discretionary FAR and agency specific flow downs, ensures compliant subcontract structuring, and maintains post award compliance oversight throughout subcontract performance.
- Supports government audits of Emergent’s subcontracting and contracting practices with the cognizant agency.
- Serves as the internal primary expert point of contact for contractual issues, disputes, and resolutions for internal company stakeholders (program management, legal team, finance team, etc.);
- Maintains compliant and auditable contract files and trackers/databases, including correspondence, research, price/cost analysis, award memorandums, creation and maintenance of the contracts database to track contracts, modifications, changes in personnel, change proposals, etc.;
- Provides clear and concise written and verbal communication on highly complex topics and training information;
- Drafts contracts and recommends contract terms which minimize risk and maximizes profitability. Ensures all contract terms and conditions meet company standards aligned with federal and agency specific regulations;
- Acts as representative liaison and point of contact with the US Government Contracting Officer (CO) on formal communications and submittals, and as delegated, leading the negotiations for contract modifications;
- Assists in new business for large/highly complex initiatives to include but not limited to: reviewing solicitations and individually, lead/manage the preparation of cost/business proposal volumes compliant with federal government solicitations;
- Analyzes and interprets contract requirements, including all terms and conditions and FAR/HHSAR/DFARS to ensure compliance with the same;
- Assisting in the identification, development, implementation and maintenance of department practices, policies, procedures and guidelines;
- Maintains a strong understanding of the Company's overall business strategy and an appreciation of financial/analytical issues, and profit and loss implications for contracting activities;
- Monitors contracts for compliance with applicable laws, regulations, and corporate policies and initiate corrective action as required;
- Researches and interprets developing US Government regulations as they apply to contracts and advise program management staff and other company personnel of contractual rights, responsibilities and obligations.

MINIMUM EDUCATION, EXPERIENCE, SKILLS
Education:
- Bachelor’s Degree OR
Experience:
- A minimum of seven (7) years of experience with dedicated work under U.S. Government Contracts/FAR based Federal contracting may be substituted for bachelor’s degree
- Preference for FAR and operation application of HHSAR and DFARS agency supplements (but agency supplement specific to HHSAR is NOT required).
- Familiarity with Contract Lifecycle Management (CLM) software
Knowledge:
- Strong knowledge and ability to draft Standard Operating Procedures (SOPs) recognizing process improvement opportunities in the context of federally funded contracting environment.
- Demonstrable understanding of standard contract and subcontract terms and provisions performing under a federally funded award.
- Understanding of Government Furnished Equipment (GFE) and associated audit/compliance requirements.
Skills:
- Excellent comprehension and analytical skills;
- Superior organizational skills and demonstrated work efficiency;
- Strong attention to detail, with an ability to prioritize competing projects;
- Demonstrated ability to manage a high volume of complex work;
- Able to provide clear and concise written and verbal communication on highly complex topics.
U.S. Base Pay Ranges and Benefits Information
The estimated annual base salary as a new hire for this position ranges from $136,000 to $164,500. Individual base pay depends on various factors such as applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on applicant’s geographic location. Certain roles are eligible for additional incentive compensation, including merit increases, annual bonus, [and/or long-term incentives in the form of stock options.]
